Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Your Life Consulting, LLC ("Company," "we," "us," or "our"), governing your access to and use of TherapyScribe.AI (the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

TherapyScribe.AI is a HIPAA-compliant clinical documentation platform designed for licensed mental health professionals. The Service provides:

• Session recording and AI-powered transcription
• Automated SOAP note and clinical documentation generation
• AI chat assistant for clinical documentation support
• Digital consent form creation and e-signature collection
• Session management, organization, and archiving
• Customizable prompt library for clinical workflows

3. Eligibility

The Service is available only to:

• Licensed mental health professionals (therapists, psychologists, counselors, social workers, psychiatrists, and similar professionals)
• Mental health trainees and interns working under licensed supervision
• Administrative staff of mental health practices authorized by a licensed professional

By using the Service, you represent and warrant that you meet the eligibility requirements above and that you are at least 18 years of age. You are responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and professional licensing requirements.

4. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, outdated, or incomplete.

5. Subscriptions and Payment

5.1 Free Trial

New users receive a 14-day free trial with full access to the Service. No credit card is required to start the trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service.

5.2 Paid Subscriptions

Paid subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected). By subscribing, you authorize us to charge the applicable fees to your designated payment method.

5.3 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods, except as required by applicable law.

5.4 Price Changes

We reserve the right to change subscription prices. We will provide at least 30 days' notice before any price increase takes effect. Continued use of the Service after a price change constitutes acceptance of the new price.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or professional code of ethics
• Infringe upon the rights of any third party, including intellectual property rights and privacy rights
• Upload or transmit malware, viruses, or other malicious code
• Attempt to gain unauthorized access to the Service, other user accounts, or our systems
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service for any purpose other than legitimate clinical documentation
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Resell, sublicense, or redistribute the Service without our written consent
• Share login credentials with unauthorized individuals

7. Clinical Responsibility

Important: TherapyScribe.AI is a documentation tool, not a clinical decision-making system. AI-generated content (including transcriptions, SOAP notes, and chat responses) is provided as a draft and must be reviewed, edited, and approved by a licensed clinician before being incorporated into a patient's medical record.

• You are solely responsible for the accuracy and completeness of all clinical documentation associated with your account.
• AI-generated content may contain errors. You must review all AI-generated notes, transcriptions, and suggestions for accuracy before finalizing them.
• The Service does not provide clinical advice. AI chat responses and generated documentation are tools to assist with documentation, not substitutes for clinical judgment.
• You are responsible for client consent. You must obtain appropriate informed consent from your clients before recording sessions or using AI-assisted documentation.

8. HIPAA and PHI

When you use the Service to process Protected Health Information (PHI) as defined under HIPAA:

• We will execute a Business Associate Agreement (BAA) with you upon request
• We will maintain appropriate safeguards to protect the confidentiality, integrity, and availability of PHI
• We will report any known breaches of unsecured PHI in accordance with HIPAA regulations
• You are responsible for ensuring that your use of the Service complies with HIPAA requirements applicable to you as a covered entity or business associate

9. Intellectual Property

9.1 Our Intellectual Property

The Service, including its original content, features, functionality, software, and design, is owned by Your Life Consulting, LLC and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

9.2 Your Content

You retain all rights to the clinical content you create using the Service, including session notes, recordings, and documentation. By using the Service, you grant us a limited license to process your content solely for the purpose of providing the Service (e.g., transcription, AI note generation, storage).

10. Data Ownership and Portability

Your clinical data belongs to you. You may export your data at any time through the Service. Upon account termination, we will provide a reasonable period (30 days) for you to export your data before it is permanently deleted.

11. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Emergency maintenance or security patches
• Circumstances beyond our reasonable control (force majeure events)
• Third-party service outages affecting our infrastructure

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOUR LIFE CONSULTING, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of, or inability to access or use, the Service
• Any errors, inaccuracies, or omissions in AI-generated content
• Any unauthorized access to or use of our servers and/or personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or other harmful components transmitted through the Service by a third party

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLETE. YOU ACKNOWLEDGE THAT AI TECHNOLOGY HAS INHERENT LIMITATIONS AND THAT ALL AI-GENERATED CONTENT MUST BE REVIEWED BY A QUALIFIED PROFESSIONAL.

14. Indemnification

You agree to indemnify, defend, and hold harmless Your Life Consulting, LLC and its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of and access to the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any third-party right, including privacy and intellectual property rights
• Any clinical decisions made in reliance on AI-generated content without proper review

15. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Service will immediately cease
• You will have 30 days to export your data
• After the 30-day export period, your data will be permanently deleted
• Any fees owed prior to termination remain due and payable

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State in which Your Life Consulting, LLC is organized, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the state in which Your Life Consulting, LLC is organized.

17. Referral Program

We may offer a referral program that provides benefits to users who refer new subscribers. Referral benefits are subject to the specific terms of the referral program as communicated separately. We reserve the right to modify or discontinue the referral program at any time. Fraudulent or abusive use of the referral program may result in forfeiture of benefits and account termination.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. For material changes, we will also notify you via email. Your continued use of the Service after any changes constitutes acceptance of the modified Terms.

19. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
